1. General Disclaimer

BitCommissions24 (hereinafter "the Application") is provided as a software tool to assist businesses in automating and organizing their internal sales commission management processes. The Developer makes no claim that the Application constitutes financial, legal, accounting, payroll, employment, or tax advice of any kind.

All users and organizations are solely responsible for verifying the accuracy, completeness, and legal compliance of commission calculations, payout decisions, and compensation agreements made using or informed by the Application.

By installing and using the Application, You (the Tenant) acknowledge and accept the limitations and responsibilities described in this Disclaimer, the Terms of Service, and the Privacy Policy.

2. Not Financial or Legal Advice

The Application is a software automation tool — not a financial advisor, legal advisor, accountant, payroll provider, or licensed compensation consultant. Outputs produced by the Application (commission amounts, journal entries, period summaries, payout totals) are based exclusively on the rules, formulas, and configurations that You, the Tenant, have defined.

The Developer expressly disclaims all responsibility for:

• Whether a commission plan defined in the Application complies with applicable employment law, labor contracts, minimum wage requirements, or compensation regulations in any jurisdiction;
• Whether calculated commission amounts are accurate for payroll, tax withholding, or statutory reporting purposes;
• The financial sustainability or fairness of any compensation structure configured within the Application;
• Any disputes between employers and employees arising from commission amounts generated by the Application.

You must consult qualified legal, financial, and HR professionals to ensure your commission plans comply with all applicable laws in your jurisdiction before implementing them.

3. Accuracy of Calculations

The Application performs commission calculations based on the exact rules and formulas that You configure. Calculation accuracy is contingent upon:

• The correctness of rules, formulas, and conditions You define in the Application's Commission Rule Builder;
• The accuracy and completeness of data within your Bitrix24 CRM (deal values, assigned user IDs, product quantities, custom field values, etc.);
• The correct functioning of Bitrix24's CRM platform, including its REST API, Data Storage, and webhook delivery mechanisms;
• Appropriate subscription plan access (certain calculation types, such as custom formulas and tiered structures, are restricted to higher-tier plans).

The Developer does not warrant that commission calculations will be error-free. It is the Tenant's responsibility to review and validate all commission outputs before using them as the basis for any financial payment, payroll submission, or employee communication.

4. Dependency on Bitrix24 Platform

BitCommissions24 operates exclusively within the Bitrix24 ecosystem and is fundamentally dependent on the Bitrix24 platform's continued availability, API behavior, and feature set. The Developer cannot guarantee:

• That Bitrix24 platform changes, updates, or deprecations will not affect the Application's functionality;
• Uninterrupted event delivery (webhook events may be delayed, dropped, or redelivered by Bitrix24's infrastructure under conditions outside the Developer's control);
• That all Bitrix24 portal configurations, entity types, or custom field setups will be compatible with the Application's feature set;
• That the Application will function on all versions of Bitrix24 (cloud, self-hosted, or on-premise) or across all Bitrix24 subscription tiers.

The Application is designed and tested against Bitrix24 Cloud (SaaS). Self-hosted or on-premise deployments of Bitrix24 may have different API behaviors, rate limits, or feature availability that can affect Application functionality in ways the Developer cannot fully predict or support.

5. Data Accuracy and Synchronization

Commission data within the Application is derived from CRM events triggered by Bitrix24 webhooks. The following limitations apply:

5.1 Webhook Delivery Reliability

Bitrix24 delivers webhook events on a best-effort basis. Events may occasionally:

• Be delayed due to Bitrix24 infrastructure load;
• Fail to deliver if the Application's webhook endpoint is temporarily unavailable;
• Be re-delivered, resulting in duplicate event processing (the Application employs idempotency safeguards, but edge cases may exist).

5.2 Real-Time Data Accuracy

Commission journal entries reflect the state of CRM deal data at the time the event was processed. If CRM records are subsequently modified without triggering a new webhook event (e.g., bulk imports, direct database modifications on self-hosted portals, or API changes outside normal CRM workflow), those changes may not be reflected in commission calculations.

5.3 Historical Recalculation

The bulk recalculation feature (Enterprise plan only) allows you to reprocess past commission events. However, the Application can only recalculate based on data currently available in Bitrix24. If historical CRM records have been modified or deleted since original processing, recalculations will reflect those current (not original) values.

6. Multi-Currency and Exchange Rate Disclaimer

The Application supports multi-currency commission environments by synchronizing exchange rates from your Bitrix24 portal's currency settings. The Developer does not source, verify, or guarantee the accuracy of exchange rates. Exchange rate data reflects what is configured in your Bitrix24 portal at the time of calculation.

Currency conversion results should not be used for tax reporting, financial accounting, or regulatory filings without independent verification against authoritative exchange rate sources.

7. No Payroll Integration

BitCommissions24 is a commission tracking and management tool only. It does not:

• Directly integrate with any payroll processing system;
• Submit, file, or process any payroll runs or payslips;
• Calculate, withhold, or remit tax obligations on commission payments;
• Generate any legally compliant payroll documentation.

Payout amounts calculated by the Application must be manually transferred into your payroll system or processed by a qualified payroll provider. The Developer accepts no liability for payroll errors that arise from relying on Application outputs.

8. Clawback and Financial Recovery Disclaimer

The Application includes a clawback detection feature (Enterprise plan) that automatically generates negative commission entries when CRM entities (such as deals) are deleted or reversed. This feature is a best-effort automation tool subject to the following limitations:

• Clawbacks are triggered only when the Application receives a deletion or cancellation event from Bitrix24's webhook system. Events not received by the Application will not trigger a clawback;
• The Application cannot enforce actual fund recovery from an employee. Clawback entries are advisory records within the Application's journal — actual financial recovery must be handled through your payroll, HR, or legal processes;
• Clawback rules are configured by the Tenant and enforced only within the Application's logic. The legal enforceability of clawback provisions is entirely dependent on your employment agreements and applicable labor laws, which the Application does not validate or advise upon.

9. Plan Limitations and Feature Availability

Feature availability varies by subscription plan. Users on the Sales Booster plan have access to a limited subset of commission structures, calculation models, and administrative tools. Features described in the Full Features Guide that are marked as Enterprise-only will return a subscription-limitation error when accessed by non-Enterprise tenants.

The Developer reserves the right to modify plan-specific feature inclusions at any time. Changes to plan features will be communicated in advance in accordance with the Terms of Service.

10. Third-Party Infrastructure Disclaimer

The Application's backend infrastructure is operated on Cloudflare's global network. While Cloudflare is a well-established, enterprise-grade platform, the Developer cannot guarantee:

• Cloudflare's continuous availability or performance in all geographic regions;
• The absence of data center outages or infrastructure incidents that may temporarily impact Application availability;
• That future changes to Cloudflare's platform, pricing, or terms of service will not affect the Application.

In the event of third-party infrastructure disruptions, the Developer will make commercially reasonable efforts to restore service as quickly as possible, but shall not be liable for losses incurred during periods of unavailability caused by third-party infrastructure.

To be fully transparent, the following table summarizes the intended scope and limitations of BitCommissions24:

This Disclaimer, the Terms of Service, and all related Application documentation represent the Developer's best current understanding of the Application's capabilities and limitations. As the Application evolves, these documents will be updated accordingly. If You observe any discrepancy between documentation and actual Application behavior, please contact support so the discrepancy can be investigated and corrected.
